Financing to buy a business

The one purchase where borrowed money is usually most of the price.

What it is

How this one works.

Buying an existing business is the transaction conventional lending handles worst and SBA lending handles best. The reason is goodwill. In most small business sales the equipment and inventory are a fraction of the price, and the rest is the customer list, the name, the staff and the fact that the thing already works. A conventional lender struggles to secure against any of that. An SBA lender can, which is why the same deal is frequently fundable through one route and impossible through the other.

Best used for

  • Buying a business in an industry you have already worked in
  • Buying out a partner or a retiring owner
  • An employee or manager buying the company they run
  • Buying a business together with the building it operates from

The process

What working with us looks like.

  1. Look at the target before the lender does

Three years of the seller’s tax returns, the equipment list, and what the business actually is. Most deals that die, die here — and finding that out in week one costs you nothing.

  2. Structure the purchase

Asset or stock purchase, how much seller financing, what stays on standby. The structure decides whether the deal is fundable at all, and it is far easier to agree before the purchase agreement is signed than after.

  3. Place it with a lender that buys this industry

Acquisition appetite varies enormously by sector. A restaurant, a trucking company and a dental practice go to three different desks, and sending all three to the same lender wastes everyone’s month.

  4. Underwriting, valuation and close

Expect a third-party business valuation, a landlord willing to assign the lease, and questions for the seller as well as for you. Forty-five to a hundred and twenty days is realistic.

Qualifying

What you generally need.

These are typical thresholds across our lender network, not hard rules. Files that fall short in one area often still place if another is strong — which is exactly the judgment call worth a phone conversation.

The Idaho tax liability that follows the buyer

Idaho makes the buyer of a business personally liable for sales tax the seller never paid. It does not matter that you structured it as an asset purchase, and it does not matter that you had no idea. The protection is a tax clearance letter from the Idaho State Tax Commission, confirming the seller’s account is settled — and requesting it is the buyer’s job, not the seller’s and not the escrow agent’s. Ask for it early, because it takes time to come back and no lender will hold a closing for it. The same logic applies to unpaid payroll taxes and to any lien sitting against the equipment you are about to buy: a UCC search is cheap, and it is the only way to find out what is secured against the assets before they become yours.

Straight answers

The upside, and the part to think hard about.

Advantages

  • You are buying revenue that already exists, not forecasting it
  • Goodwill is financeable, which conventional lending rarely manages
  • Terms stretch to a decade, and longer when real property is in the deal
  • The seller staying on a note keeps their interest aligned with yours

Things to consider

  • The longest and most document-heavy process on this site
  • A personal guarantee, and usually a lien on the business you are buying
  • The seller’s books have to survive scrutiny — many do not
  • Licences, leases and contracts do not automatically come with the business

Questions

Business Acquisition questions.

How much do I need to put down to buy a business?
Around a tenth of the project is the usual expectation, and it does not all have to be cash out of your pocket. A seller note placed on full standby — no payments to the seller until the lender is repaid — can often count toward part of it. That single structure is what gets more acquisitions funded than any other.
Can I buy a business in an industry I have never worked in?
It is much harder, and it is the first thing an underwriter looks at. Your experience is what persuades them the business will still be making money after it changes hands. If you have none in the sector, the realistic paths are keeping the seller on for a long transition, bringing in a partner who has it, or putting in more of your own money.
What is an asset purchase, and why does the lender care?
In an asset purchase you buy the equipment, the name and the customer relationships but not the legal entity; in a stock purchase you buy the company itself, including everything attached to it. Lenders generally prefer asset purchases because the seller’s old liabilities stay behind. See the section below — in Idaho, one of those liabilities follows the buyer anyway.
Does the seller have to help finance it?
Not always, but it helps the file considerably, and a seller who refuses outright is telling you something about their confidence in the business. It is worth asking early rather than treating it as a concession to extract at the end.
Will the licences transfer with the business?
Often not, and this is where Idaho deals most commonly slip. A child care licence is not transferable. A liquor licence has its own process and its own queue. Professional practices have ownership rules about who may hold the entity. Check the licence timetable before you agree a closing date, because the licence will not move to suit it.
Do I need a business valuation?
For most SBA acquisitions above a modest size, yes, and it is ordered by the lender rather than by you. It occasionally comes in under the agreed price, which is worth knowing is possible before you are emotionally committed to the deal.

Buying out your partner in Idaho: no statute sets the price

Idaho gives a departing owner almost no right to be paid, which means a partner buyout is priced by your operating agreement or not at all. That document, not the business, is usually what decides whether the buyout is financeable.

Buying an Idaho ranch: the grazing is not in the sale

Most of the carrying capacity on an Idaho ranch sits on federal or state ground, and none of it transfers with the deed. The federal permit terminates on transfer, the state lease can be bid away at renewal, and your lender cannot foreclose on either.

Buying a small Idaho motel: the room taxes and the appraisal decide it

An Idaho room night can carry four separate taxes with four separate authorities, two of them new in 2026, and SBA treats lodging as special-purpose property whose appraisal must split the price three ways. Those two facts move a motel deal more than the occupancy does.

Buying an Idaho business: the sales tax the seller never paid

Idaho law makes the buyer of a business personally liable for the seller’s unpaid sales tax, and gives the buyer one specific way out. Almost nobody in a small purchase uses it.

Buying an Idaho gas station: the tanks decide the loan

Fuel retail sits in its own lane in SBA environmental policy, Idaho runs its own tank programme through DEQ, and the state’s petroleum insurance covers releases that begin on your watch rather than the ones you inherit. Those three facts, not the fuel margin, decide whether the deal closes.

Buying an Idaho child care business: the licence does not come with it

An Idaho daycare licence cannot be assigned, a change of ownership means a fresh application, and the licence has to exist before the doors open. That puts a state timetable between your closing and your first day of revenue.
